Babelbeez - Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY.

These Terms of Service ("Terms") govern your access to and use of the Babelbeez website, platform, services, and associated software (collectively, the "Service") provided by us ("Babelbeez," "we," "us," or "our").

By creating an account on the Babelbeez website (www.babelbeez.com) or by accessing or using the Service in any way, you ("User," "you," or "your") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, do not access or use the Service.

If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, "you" and "your" refers to you and that Organization.

1. Description of Service

Babelbeez provides a Software-as-a-Service (SaaS) platform that enables users, primarily individuals and small businesses, to create, configure, manage, and embed real-time voice chatbots onto their websites.

Key features of the Service include, but are not limited to:

• Creation and management of multiple chatbots per user account.
• No-code configuration options for chatbot behavior, including voice, temperature, VAD sensitivity, inactivity timeout, and system instructions.
• Generation of embeddable code snippets for integrating chatbots onto user websites.
• Domain restriction capabilities to control where chatbots can be embedded.
• Real-time voice interaction functionalities leveraging third-party APIs (e.g., OpenAI).
• Retrieval-Augmented Generation (RAG) features allowing chatbots to utilize user-provided data sources (e.g., via Supabase vector store).
• Tools for data ingestion into the RAG system (e.g., web page scraping).
• A dashboard providing usage analytics, chat history, and account management.
• A live preview feature for testing chatbot configurations.
• User authentication and account management services.

We reserve the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice.

2. User Accounts

Registration: To access and use the Service, you must register for an account ("Account") by providing a valid email address and any other information requested during the registration process. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Eligibility: You must be of legal age to form a binding contract in your jurisdiction to register for an Account and use the Service. By registering, you represent and warrant that you meet this requirement.

Account Security: You are responsible for safeguarding your Account password and any other credentials used to access the Account. You are solely responsible for all activities that occur under your Account, whether or not you authorized that activity. You must notify Babelbeez immediately of any unauthorized use of your Account or any other breach of security. Babelbeez will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Account Usage: Each Account is intended for use by a single user or Organization. You may not share your Account credentials with others.

3. License Grant and Use Rights

License: Subject to your compliance with these Terms, Babelbeez grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes or personal use, as applicable, during the term of your subscription.

Restrictions: You may use the Service only as permitted by these Terms. You may embed the chatbots created using the Service only on websites that you own or operate and for which you have obtained all necessary rights and permissions. You agree not to (and not to allow any third party to):

• Resell, sublicense, lease, rent, or otherwise transfer your rights to use the Service.
• Use the Service for any illegal, harmful, or fraudulent purpose.
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
• Attempt to gain unauthorized access to the Service or its related systems or networks.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Service.
• Modify, translate, or create derivative works based on the Service.
• Remove any proprietary notices or labels from the Service.

4. Acceptable Use Policy

You agree not to use the Service, nor allow any end-user interacting with your embedded chatbots to use the Service, in any way that:

• Violates any applicable local, state, national, or international law or regulation.
• Infringes upon or violates the intellectual property rights, privacy rights, publicity rights, or other proprietary rights of others.
• Is unlawful, fraudulent, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, ethnically, or otherwise objectionable.
• Transmits any viruses, malware, worms, Trojan horses, or other harmful or destructive code.
• Attempts to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
• Involves sending unsolicited communications, promotions, advertising, or spam.
• Impersonates any person or entity, or falsely states or otherwise misrepresents your affiliation with a person or entity.
• Data Ingestion: Uses the data ingestion features (including web scraping) to process, store, or transmit any data or content for which you do not have all necessary rights, permissions, and consents. You specifically represent and warrant that you have the right to scrape and use any web pages or other data sources you provide to the Service for RAG purposes.
• Places an unreasonable load on our infrastructure or the infrastructure of our third-party providers.

We reserve the right, but do not assume the obligation, to investigate any violation of this Section or misuse of the Service. We may suspend or terminate your access to the Service for violations of this Acceptable Use Policy.

5. Fees and Payment

Subscriptions: Access to certain features of the Service may require a paid subscription ("Subscription"). Subscription plans, features, and pricing are available on our website. We reserve the right to change our Subscription plans or adjust pricing for the Service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms, any price changes or changes to your Subscription plan will take effect following notice to you.

Billing and Payment Processing: All payments for Subscriptions are processed through our third-party payment processor and Merchant of Record, Paddle.com Market Limited ("Paddle"). By purchasing a Subscription, you agree to Paddle's terms and conditions [https://paddle.com/legal/checkout-buyer-terms] and privacy policy. You must provide Paddle with valid and current payment information. Babelbeez does not directly store or process your full payment card information.

Automatic Renewal: Unless you cancel your Subscription before the end of the current subscription period, your Subscription will automatically renew for successive periods of the same duration as the original subscription term. You authorize Paddle to charge your provided payment method for the renewal subscription fee at the then-current rate.

Cancellation: You may cancel your Subscription at any time through your Account settings or by contacting Paddle support. Cancellation will take effect at the end of the current billing cycle. You will continue to have access to the Service through the end of your paid billing period.

Refunds: Subscription fees are non-refundable except as required by law, as explicitly stated otherwise by Babelbeez, or as offered at Babelbeez' discretion.

Taxes: Paddle, as the Merchant of Record, is generally responsible for calculating, collecting, and remitting applicable taxes (such as VAT or sales tax) based on your location.

6. Intellectual Property Rights

Babelbeez IP: The Service and its underlying technology, including but not limited to software, code, algorithms, interfaces, graphics, design, compilation, information, data, and all related intellectual property rights, are and will remain the exclusive property of Babelbeez and its licensors. Except for the limited license granted in Section 3, nothing in these Terms gives you a right to use the Babelbeez name or any of the Babelbeez trademarks, logos, domain names, and other distinctive brand features.

User Input: You retain ownership of any original content, data, or information you submit, post, or display on or through the Service ("User Input"), such as configuration settings or data you directly upload (excluding content scraped from third-party websites at your direction).

License to Babelbeez: You grant Babelbeez a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Input solely to the extent necessary to provide, maintain, and improve the Service and as permitted by our Privacy Policy. This license continues even if you stop using our Service, primarily for residual backup and operational purposes.

Generated Content: The Service utilizes artificial intelligence models (e.g., from OpenAI) to generate responses and other output ("Generated Content"). Your ability to use Generated Content may be subject to the terms and policies of the underlying AI model providers (e.g., OpenAI). Subject to your compliance with these Terms and any applicable third-party terms, Babelbeez grants you a license to use the Generated Content created for you through the Service for your permitted purposes. Ownership of Generated Content derived from AI models is complex and subject to the policies of the AI provider. You are responsible for ensuring your use of Generated Content complies with all applicable laws and third-party terms.

Feedback: If you provide Babelbeez with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you hereby grant Babelbeez a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, incorporate, and exploit such Feedback for any purpose without restriction or compensation to you.

7. Confidentiality & Data Privacy

Confidentiality: We will treat your User Input and RAG Data (defined below) as confidential information and will use it only in accordance with these Terms and our Privacy Policy. We will maintain commercially reasonable administrative, physical, and technical safeguards to protect the security, confidentiality, and integrity of your data.

Privacy: Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to the collection and use of information in accordance with the Privacy Policy.

8. User Content and Data

Responsibility: You are solely responsible for all User Input and any data you instruct Babelbeez to ingest via scraping or other methods ("RAG Data"). You represent and warrant that you have all necessary rights, licenses, consents, and permissions to provide, upload, store, and use your User Input and RAG Data in connection with the Service, and that doing so does not violate any applicable laws or infringe upon the rights of any third party (including copyright, privacy, or publicity rights).

RAG Data Handling: When you provide a URL for RAG Data ingestion, you direct Babelbeez to scrape and process content from that URL. Babelbeez will store this RAG Data securely. While Babelbeez stores the RAG Data, you acknowledge that the original ownership of the content on the scraped website remains with the website owner or its licensors. Babelbeez will use the stored RAG Data solely for the purpose of providing the RAG functionality for your specific chatbot(s) associated with your Account and will not use it for any other user or purpose.

Monitoring: We have the right, but not the obligation, to monitor User Input and RAG Data to ensure compliance with these Terms and applicable law. We may remove or refuse to process any content that we believe, in our sole discretion, violates these Terms or may be harmful.

9. Third-Party Services

Reliance: The Service integrates with and relies upon third-party services, including but not limited to OpenAI for AI model processing and Supabase for database and authentication functionalities ("Third-Party Services").

Availability: Your access to and use of the Service may be dependent on the availability and performance of these Third-Party Services. Babelbeez is not responsible for the operation, availability, or security of Third-Party Services, nor for any loss or damage caused by your reliance on them.

Third-Party Terms: Your use of the Service, particularly features leveraging AI, may require you to comply with the terms of service, acceptable use policies, and other policies of these Third-Party Services (e.g., OpenAI's Terms of Use and Usage Policies). You are solely responsible for reviewing and complying with any applicable Third-Party Terms. Violation of Third-Party Terms may result in suspension or termination of your access to the Babelbeez Service.

Data Sharing: Use of the Service involves transmitting your User Input and potentially RAG Data to Third-Party Services like OpenAI. While we strive to protect your data, the handling of data by these third parties is governed by their respective privacy policies and terms.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BABELBEEZ AND ITS AFFILIATES, LICENSORS (INCLUDING OPENAI AND SUPABASE), AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BABELBEEZ DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE (INCLUDING ANY GENERATED CONTENT) WILL BE ACCURATE, RELIABLE, COMPLETE, OR CURRENT; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

YOU ACKNOWLEDGE THAT THE SERVICE RELIES ON COMPLEX TECHNOLOGIES, INCLUDING THIRD-PARTY ARTIFICIAL INTELLIGENCE MODELS. BABELBEEZ MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, QUALITY, SAFETY, OR LEGALITY OF THE GENERATED CONTENT. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING ANY OUTPUT FROM THE SERVICE BEFORE RELYING ON IT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BABELBEEZ OR ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF BABELBEEZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE SERVICE; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE (INCLUDING END-USERS INTERACTING WITH YOUR CHATBOTS); (E) YOUR RELIANCE ON GENERATED CONTENT; OR (F) ANY OTHER MATTER RELATING TO THE SERVICE.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF BABELBEEZ AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (I) THE TOTAL AMOUNT PAID BY YOU TO BABELBEEZ FOR THE SERVICE DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100).

THE LIMITATIONS SET FORTH IN THIS SECTION WILL APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless Babelbeez, its affiliates, licensors, suppliers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your User Input or RAG Data, including any claim that such content infringes or violates the rights of any third party or violates any law.
• Your use of the Service (including any Generated Content) in a manner not expressly authorized by these Terms or in violation of applicable law.
• Your violation of any rights of a third party, including the rights of website owners whose content you scrape using the Service.
• Any activity related to your Account, including negligent or wrongful conduct by you or any other person accessing your Account.
• The actions or omissions of end-users interacting with the chatbots you embed on your website(s).

13. Term and Termination

Term: These Terms commence on the date you first accept them (e.g., by creating an Account or using the Service) and continue in effect until terminated as set forth herein. If you have a paid Subscription, the term of that Subscription is specified during the purchase process and will automatically renew as described in Section 5 unless cancelled.

Termination by You: You may terminate these Terms at any time by cancelling your Subscription (if applicable) and ceasing all use of the Service. Account closure options may be available within your Account settings. Cancellation is effective at the end of the current billing cycle, as described in Section 5.

Termination by Babelbeez: We may suspend or terminate your Account and access to the Service, with or without prior notice, for any reason or no reason, including, but not limited to, if: (a) you breach any provision of these Terms; (b) you violate applicable laws or regulations; (c) your use of the Service poses a security risk to us or any third party; (d) required by law or by our third-party providers (like OpenAI or Supabase); (e) we decide to discontinue the Service in whole or in part. For breaches of these Terms, we may provide notice and an opportunity to cure, at our discretion.

Effect of Termination: Upon termination of these Terms for any reason: (a) your license rights granted hereunder shall immediately terminate; (b) you must cease all use of the Service; (c) any outstanding fees owed to Babelbeez become immediately due and payable; (d) Babelbeez may delete your Account, User Input, and RAG Data in accordance with our data retention policies, although some data may persist in backups for a limited time.

Survival: Sections 6 (Intellectual Property Rights), 7 (Confidentiality & Data Privacy), 8 (User Content and Data - specifically your responsibilities and our usage rights for residual data), 10 (Warranties and Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Effect of Termination, Survival), 15 (Governing Law and Dispute Resolution), 16 (Miscellaneous), and 17 (Contact Information) shall survive any termination or expiration of these Terms.

14. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Notification methods may include posting the updated Terms on the Babelbeez website, sending an email to the address associated with your Account, or providing notice through the Service interface. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service. It is your responsibility to check these Terms periodically for changes.

15. Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Singapore before one arbitrator. The arbitration shall be administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The language of the arbitration shall be English. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire and exclusive understanding and agreement between Babelbeez and you regarding the Service, and supersede and replace any and all prior oral or written understandings or agreements between Babelbeez and you regarding the Service.

Severability: If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

Waiver: The failure of Babelbeez to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Babelbeez.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Babelbeez's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Babelbeez may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Notices: Any notices or other communications provided by Babelbeez under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Service. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

Force Majeure: Babelbeez shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes or shortages of transportation facilities, fuel, energy, labor or materials, or failures of the internet or third-party providers (like OpenAI or Supabase).
